1. Acceptance of Terms

By accessing or using Chartly, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the service. We reserve the right to modify these Terms at any time; continued use after changes constitutes acceptance.

2. Description of Service

Chartly is a web-based financial charting and analysis platform that provides:

• Real-time and historical market data visualization
• Technical analysis tools and indicators (including Pine Script support)
• Watchlists and price alert management
• Cloud synchronization of user preferences
• Volume analytics and market narrative tools

3. User Accounts

3.1 Registration

To access certain features, you must create an account through our authentication provider (Clerk). You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activity under your account

3.2 Account Termination

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or abuse the platform. You may delete your account at any time by contacting us at support@chartly.me.

4. Subscription Plans & Payments

4.1 Plans

Chartly offers the following subscription tiers:

• Free — Limited features at no cost
• Pro ($9.99/month) — Extended features including all indicators, cloud sync, and custom Pine Script
• Premium ($19.99/month) — Full access including AI insights, priority support, and API access

4.2 Payment Processing

All payments are processed securely by Stripe, Inc. By subscribing, you also agree to Stripe's Terms of Service. We accept major credit cards, debit cards, and other payment methods supported by Stripe.

4.3 Billing Cycle

• Subscriptions are billed monthly on the anniversary of your sign-up date
• Payments are non-refundable except as required by applicable law
• Failed payments may result in service downgrade after a grace period

4.4 Cancellation

You may cancel your subscription at any time through the Stripe Customer Portal. Upon cancellation:

• You retain access to paid features until the end of your current billing period
• Your account automatically downgrades to the Free tier
• Your data (watchlists, alerts, preferences) is preserved

4.5 Price Changes

We reserve the right to change subscription prices with 30 days’ advance notice. Price changes will apply to your next billing cycle after the notice period.

5. Acceptable Use

You agree not to:

• Use Chartly for any unlawful purpose
• Reverse engineer, decompile, or disassemble any part of the platform
• Scrape, crawl, or use automated tools to extract data from Chartly
• Attempt to gain unauthorized access to our systems or other users' accounts
• Distribute malware, spam, or harmful content
• Resell or redistribute the service without authorization
• Circumvent any rate limits, access controls, or security measures
• Use the service to manipulate markets or engage in illegal trading activity

6. Market Data & Financial Disclaimer

• Market data displayed on Chartly is sourced from Yahoo Finance and may be delayed up to 15 minutes for certain markets
• We do not guarantee the accuracy, completeness, or timeliness of any market data
• Technical indicators and analytics are mathematical computations and should not be interpreted as trading recommendations
• You are solely responsible for your investment decisions. Past performance does not guarantee future results
• Always consult a qualified financial advisor before making investment decisions

7. Intellectual Property

7.1 Our Property

Chartly, including its design, code, features, logos, and content, is the intellectual property of ThatWhy.me and is protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of any custom Pine Scripts, watchlists, or configurations you create on Chartly. By using the platform, you grant us a limited license to store and process your content solely to provide the service.

7.3 Pine Script

Pine Script indicators included with Chartly are proprietary to ThatWhy.me. Custom scripts created by users belong to the respective users.

8. Limitation of Liability

Our total liability to you for all claims shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Disclaimer of Warranties

Chartly is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy of market data or analytics
• Compatibility with all devices or browsers

10. Indemnification

You agree to indemnify and hold harmless ThatWhy.me, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of Chartly, violation of these Terms, or infringement of any third-party rights.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may temporarily suspend Chartly for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

12. Third-Party Services

Chartly integrates with third-party services including:

• Yahoo Finance — Market data provider
• Clerk — Authentication provider
• Stripe — Payment processor
• Cloudflare — Hosting and CDN

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability or accuracy of third-party services.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Thailand. Any disputes arising from these Terms shall be resolved through good-faith negotiation, and if necessary, through arbitration or the courts of Thailand.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ThatWhy.me regarding your use of Chartly, superseding any prior agreements.
